As mandated by the Sarbanes-Oxley Act of 2002, the US Securities and Exchange Commission (SEC) adopted rules and requirements that a company needs to fulfill to get its securities listed on a national exchange. The requirements related to the Audit Committee include the following:

The audit committee must consist of independent members.
The audit committee should consist of at least three independent directors. One of them must be a Financial Expert.
The audit committee is given the responsibility of appointing and overseeing the company's independent auditor.
As an extension of the board, the member may be volunteered; to serve on the board.
