  • Recognize transfer pricing risks and the importance of arm's-length documentation.
  • Explain how income tax treaties and permanent establishment affect cross-border tax exposure.
  • Identify FIRPTA withholding concerns and state and local tax obligations associated with U.S. operations.
  • Assess the cross-border tax considerations of stock sales, asset sales, dividends, and liquidation.

Course Overview

This is the Second Part of "Business Expansion into the U.S Series".

Establishing operations in the United States presents foreign businesses with tax decisions that extend well beyond selecting an entity. Federal incentives, state and local obligations, cross-border transactions, and eventual exit arrangements can all influence the financial consequences of entering the U.S. market.

This course examines how R&D credits, bonus depreciation, Section 179, and domestic R&D expensing under the OBBBA affect operating decisions. It also addresses transfer pricing documentation and the arm's-length standard, income tax treaties and permanent establishment, FIRPTA withholding for foreign owners of U.S. real estate, and state and local income and sales tax exposure, including economic nexus.

Major Topic:

  • Federal incentives: R&D credits, bonus depreciation, and Section 179
  • Domestic R&D expensing opportunities under the OBBBA
  • Transfer pricing, documentation, and the arm's-length standard
  • Income tax treaties, double taxation, and permanent establishment
  • FIRPTA withholding and foreign-owned U.S. real estate
  • State and local taxes, economic nexus, and cross-border exit planning

Participants will explore why U.S. expansion requires coordinated planning across jurisdictions and throughout the business lifecycle. The course also considers the cross-border implications of stock sales, asset sales, dividends, and liquidation so professionals can identify key tax questions before major decisions are made.
