Course Overview

Securities fraud and market manipulation continue to challenge fraud examiners, compliance professionals, forensic accountants, legal counsel, and financial analysts as trading activity becomes increasingly technology-driven and complex. This course focuses on the mechanics, detection methods, surveillance tools, and regulatory frameworks used to identify illicit market behavior across equities, options, fixed income, and digital asset markets.

Participants will examine insider trading under SEC Rule 10b-5 and Section 10(b), including material non-public information, classical and misappropriation theories, tipper/tippee liability, and Rule 10b5-1 trading plans. The course also addresses pump-and-dump schemes, spoofing, layering, wash trading, matched orders, cross-market manipulation, and other techniques used to distort trading volume, liquidity, and price discovery.

Major Topic:

  • Insider trading and material non-public information
  • Pump-and-dump and microcap manipulation schemes
  • Spoofing, layering, wash trading, and matched orders
  • FINRA Rules 2010, 2020, and 5210
  • Trade surveillance and Electronic Blue Sheet analysis
  • OATS/CAT data and order book reconstruction

The course also reviews FINRA Rules 2010, 2020, and 5210, along with Electronic Blue Sheet data, OATS/CAT information, algorithmic surveillance outputs, and order book reconstruction. By applying these tools and frameworks, participants will be better prepared to detect suspicious trading patterns, support internal investigations, evaluate compliance programs, and mitigate regulatory risk.
