On March 6, 2024, the SEC announced new rules to standardize climate-related disclosures for public companies and offerings, addressing investor demand for reliable information on climate risks.
These rules, developed after reviewing over 24,000 comment letters, aim to enhance transparency and accountability. SEC Chair Gary Gensler emphasized the importance of truthful disclosure, mandating material climate risk disclosures in company filings. The rules require direct inclusion of climate risk disclosures in SEC filings, specifying impacts on business strategy, financial condition, and operations. They also mandate disclosures on board oversight, management roles, and processes for identifying and managing climate risks.
Furthermore, certain filers must disclose emissions and related expenditures, losses, and impacts on financial estimates. This course provides an overview of the climate-related disclosure requirements along with information about when public companies must start including these disclosures in their respective filings.
