Of 23 million small businesses in the US, most are sole proprietorships.  About 6 million with less than 50 employees.

“Main Street” businesses, generally with revenues of less than $2 Million.

Business types include a wide variety of manufacturing, distribution, and service business

“How much is this business interest worth?”

This question is not easily answered. 

The answer depends on: 

1) Economic factors (these can be local, regional, national, and international)

2) The premise and standard of the value selected

3) Appropriate valuation method applied

4) Interest being valued

Historically, the valuation of a closely held company was more of an art than a science; there was

some guidance provided by the IRS and minimal reporting standards.

For closely-held businesses, where the company stock or ownership interest is not traded on an open, public exchange, no quick and easy formula allows us to determine the value of the business interest. Just as each business is unique, the valuation process for each business will be unique also. There is a general process, however, that we can rely on to ensure completeness in our approach. This CPE course describes the steps that you as a client or an advisor should expect to see when engaging a valuation analyst to complete the valuation of a closely-held business.

Robert is a Principal with Houlihan Valuation Advisors, a national firm of valuation and capital consultants.  Rob's professional background includes extensive work in business appraisal, marital and partnership dissolutions, estate planning, market studies, statistical analysis, and forensic accounting.  He has testified as an expert in Federal and Indiana courts and has directed numerous studies of business value, economic damages and lost profits, and intellectual property matters for clients in a wide variety of companies.  He authored the course “Valuing Intangibles” for the Institute of Business Appraisers, and contributed the chapter on Intangible Asset Appraisal Understanding Business Valuation, 3rd edition, is a co-author in the forthcoming valuing a Business, 6th edition, concerning real estate centered entities.  Rob regularly teaches valuation methods and report writing techniques to appraisal, legal and accounting organizations, and is a Licensed or Certified Appraisal Instructor by the Real Estate Appraisal Boards in Indiana, Utah and Virginia.

 A frequent author and trainer, his most recent publications include articles in Business Valuation Update, the Matrimonial Strategist (where he serves on the Board of Editors), The Earnings Analyst, Indiana Lawyer, the Handbook of Business Valuation, Fair$hare, The Personal Property Journal, and as co-author of the book on Valuing Software Companies published by Business Valuation Resources in October, 2005.  During the past twenty years Rob has addressed many international conventions, including the Association for Systems Management, and the Institute of Business Appraisers.  Regionally he has led workshops on corporate finance and building business value for the Small Business Administration, the Indiana Personnel Association, the Institute of Management Accountants, the Valuation Engineers of the Internal Revenue Service, and the Better Business Bureau.  Rob has taught financial statement analysis and valuation-related courses regularly for the Indiana CPA Society, and is an international instructor for the Institute of Business Appraisers and the American Society of Appraisers for accredited valuation classes.  Since 1997 he has provided regular seminars on business valuation and estate issues for ICLEF, the Indiana Continuing Legal Education Forum, at times in conjunction with attorneys from the Internal Revenue Service. 

Rob's business career includes technical systems work for Burroughs Corporation in the 1960's and the U.S. Marine Corps in the early to mid-1970's.  He served on the faculty of the Weatherhead School of Management at Case Western Reserve University for three years teaching courses in information system design, economics, and organizational behavior.  Previously, Rob directed management advisory services practices for Price Waterhouse in Central Illinois, McGladrey & Pullen in the Indiana-Tennessee region, and Ford, Brinkerhoff & Koehler in Indianapolis.  In 1992 he retired as a Lt. Colonel, USMCR, with specialties in data systems, infantry, and intelligence, and held a “Top Secret” security clearance.  He has been an arbitrator for the Better Business Bureau “Auto Line” program for over 25 years, twice being recognized as “Arbitrator of Year.”

 Rob holds an undergraduate degree in Economics (Occidental), a Master's degree in Labor and Industrial Relations (Michigan State), and completed his Ph.d candidate coursework in Management (ABD/Management Information Systems Decision Systems/Case Western Reserve).  A member of the panel of commercial arbitrators for the Better Business Bureau, Rob also holds membership in the American Society of Appraisers, the Institute of Business Appraisers, and the National Association for Business Economics (where he serves on the National Economic Panel).  He has received professional designations in Business Appraising (Master Certified Business Appraiser/Institute of Business Appraisers, and Accredited Senior Appraiser/American Society of Appraisers) and Appraisal Review and Management (Accredited Senior Appraiser/American Society of Appraisers) plus four technical designations in information systems management. 

From 1998 through 2000 Rob served as President of the Indiana Chapter of the American Society of Appraisers, and was the Society's State Director during 2000 and 2001.  He served as a Governor for the Institute of Business Appraisers from 2001 through 2008.  He was elected as the International President of the American Society of Appraisers, serving from July 2010 through June, 2011 and elected a Fellow of the Society in August, 2013.  An Elder in the Presbyterian Church, Rob and his family reside in Lawrence, Indiana.
